HOW TO ENTER: Visit redweek.com/widgets, choose any of the widgets available and post it to your blog or Web site. Then, e-mail learnmore@redweek.com with your name, and a link to the page showing the widget in place. All entries must be received by November 30, 2009, at 11:59 pm Pacific Time. RedWeek.com will not acknowledge or verify receipt of your e-mail.

GIVEAWAY PERIOD: Giveaway begins at 12:00 a.m. (Pacific Time ["PT"]) on October 30, 2009 and ends at 11:59 p.m. (PT) on November 30, 2009.

ELIGIBILITY: To enter the Giveaway, the Participant must (i) Post the RedWeek widget to their web site or blog (no purchase necessary and you do not have to be a member of RedWeek.com), (ii) 18 years of age or over at the time of entry. The Giveaway is not open to employees, officers and directors of RedWeek.com and their immediate families (parents, children, siblings and spouse, regardless of where they live), and members of their households (whether related or not).

DRAWING AND NOTIFICATION: RedWeek.com will select the winner by conducting a random drawing on December 1, 2009. The Potential Winner will be notified by the e-mail address they provided in their entry within forty-eight (48) hours of being selected and will have five (5) business days to respond. If a Potential Winner cannot be contacted such period of time such person will be disqualified and another Potential Winner will be selected from the remaining entrants received by the cutoff date.

PRIZE: The winner will choose a one (1) week timeshare vacation from any of the resorts listed on the "Last Minute Exchange" page of RedWeek.com. The Potential Winner has one year to redeem their vacation. If the cannot accept one of the available destinations within the one year period, they forfeit their prize. Prize includes accommodations only. Airfare and car rental are not included. The Potential Winner is responsible for any local taxes or fees, as well as all incidental charges incurred at the resort during the stay including telephone charges, tours or activity fees, cleaning services, and any similar fees charged to your room. The accommodation or timeshare unit must be left in the same condition as when you first arrived - "Clean & Tidy." Any breakages/damages must be reported immediately to resort staff and you are responsible for the cost of repairs or replacement of items damaged. Prize may not be redeemed for cash. Potential Winner may not transfer or sell the week to anyone else.

GENERAL PRIZE CONDITIONS/RESTRICTIONS: RedWeek.com is not responsible for any mechanical difficulties or failures connected with participating in the giveaway or any act or omission whatsoever. No transfer or substitution of Prizes is allowed except at the sole discretion of RedWeek.com. RedWeek.com reserves the right in its sole and absolute discretion, to substitute a prize with a prize of equal or greater value.

RELEASES/TAXES: Before a Potential Winner will be deemed an Official Winner, he/she will be required to execute and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (except where prohibited) (the "Affidavit/Release"). Except where prohibited by law, by entering, Potential Winner grants permission for the RedWeek.com and those acting under their authority to use the Potential Winnerís name, photograph, likeness, statements, biographical information, voice, and address (city and state only) on a worldwide basis, and in all forms of media, in perpetuity and for advertising or promotional purposes without review or further compensation. The Affidavit/Release must be returned by the deadline stated in such documents. If the documents are not returned within that time, or Potential Winner is found to be ineligible, or Potential Winner does not comply with the Official Rules, the Potential Winner will be disqualified and another Potential Winner will be selected. A prize or prize notification being returned as undeliverable will result in disqualification of such Potential Winner. All federal, state or other tax liabilities (including income taxes) arising from a Prize contained in this giveaway will be solely the responsibility of the Winner.

GIVEAWAY CONDITIONS: This Giveaway is subject to all applicable federal, state and local laws. By participating, Participants agree to abide by and be bound by these Official Rules and the decisions of the RedWeek.com on all matters relating to this promotion and waive any right to claim ambiguity in the Giveaway or these Official Rules. By participating, Participants agree to release, discharge, indemnify and hold harmless RedWeek.com and their respective officers, directors, employees, representatives and agents (the "Released Parties") from and against any claims, damages or liability due to any injuries, theft, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from a) acceptance, receipt, possession, misuse or use of any prize element or participation in any Giveaway-related activity or participation in this Giveaway, b) any malfunction of the RedWeek.com Web site, c) any error in the collection or retention of entry information, or d) any typographical or other error in the printing, offering or announcement of any prize or Winner. Winner assumes all liability for any injury or damage caused, or claimed to be caused, by participating in this Giveaway or use or redemption of any prize. In the event a Potential Winner or Winner is disqualified for any reason under the provisions of these Official Rules, such winner and all rights to any prize will be forfeited in its entirety and a random drawing will be conducted in order to select an alternate Potential Winner, if time permits.

LIMITATIONS OF LIABILITY: By accepting the prize, Winner releases Released Parties and each of their respective officers, directors, agents and employees from any and all liabilities with respect to the prize related thereto. Released Parties are not responsible for (i) lost, late, stolen, misdirected, damaged, incomplete or garbled attempts to post the widget, (ii) any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer online systems, servers or providers, computer equipment, software, failure of e-mailing the entry on account of technical problems or traffic congestion on the internet or at any website or any combination thereof, including injury or damage to Participants or to any other personís computer(s) related to or resulting from participating or downloading materials contained in this Sweepstakes, (iii) communication disruption or other forces beyond their reasonable control, including inability to access any website, submitting an Entry or other disruption related to internet traffic, virus, bug or any unauthorized intervention whether or not caused by any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity(ies), equipment failure, including overloading of the Web site due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), labor or material shortage(s), transportation interruption(s) of any kind, work slow-down(s), civil disturbance(s), insurrection(s), riot(s), or any other similar or dissimilar cause(s) beyond RedWeek.comís sole and reasonable control, (iv) injury or damage to persons or property caused, directly or indirectly, in whole or in part from any Participant's participation in the Giveaway or receipt or use of any portion of a Prize or by computer virus or otherwise resulting to any computers from Participant's access to the Giveaway web site or entry into the Giveaway, or (v) printing or other errors appearing in the rules or other Giveaway materials.

If for any reason the Giveaway is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of RedWeek.com which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Giveaway, RedWeek.com reserves the right at its sole discretion to cancel, terminate, modify or suspend the Giveaway. In the event that the operation, security, or administration of the Giveaway is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, RedWeek.com may, in their sole discretion, either: (a) suspend the Giveaway to address the impairment and then resume the Giveaway in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Giveaway and award the prize from among the eligible entrants received up to the time of the impairment.

Participants further agree that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorneys' fees and/or experts' fees and costs. Participants waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

RedWeek.com reserves the right in their sole discretion to disqualify any individual that they find to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law, and, should such an attempt be made, RedWeek.com reserves the right to seek damages from any such person to the fullest extent permitted by law. RedWeek.coms failure to enforce any term of these Official Rules shall not constitute a waiver of that provision contained in the Official rules.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, REDWEEK.COM RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
